Maroo Book Now, Pay Later Agreement

These following terms and conditions describe a contractual relationship ("Agreement") between Maroo Inc. ("Maroo," "we," "us," "our") and the user ("you" or "your") of this payment option (“Book Now, Pay Later”, “Pay Over Time”, “Buy Now, Pay Later”, “BNPL”) entered into the date you agree to use this payment option for your purchase.  

YOU MUST AGREE TO THE TERMS OF THIS AGREEMENT BELOW IN ORDER TO UTILIZE MAROO BOOK NOW, PAY LATER TIME OPTION FOR YOUR PURCHASE. 

In addition to these terms and conditions, your use of this payment option is governed by the Maroo’s Terms of Use, which are incorporated into and made part of these Terms and Conditions (collectively, the “Agreement”). By choosing to pay for your purchase (the "Purchase") from a wedding vendor (the "Vendor") with Maroo Book Now, Pay Later, you agree to the terms of this Agreement, which, in addition to the Maroo Terms of Use, which includes our Privacy Policy, the Your Consent to Electronic Disclosures Agreement, and the applicable Payment Schedule we provide to you.  

MOREOVER, THIS AGREEMENT INCORPORATES THE ARBITRATION PROVISION IN MAROO’S TERMS OF USE TO WHICH YOU ARE ALREADY A PARTY. IF YOU DID NOT OPT OUT OF THAT ARBITRATION PROVISION, IT ALSO APPLIES IN THIS AGREEMENT, UNLESS YOU ARE SUBJECT TO THE PROTECTIONS OF THE MILITARY LENDING ACT. PLEASE READ THE ARBITRATION PROVISION CAREFULLY AS IT WILL HAVE A SUBSTANTIAL EFFECT ON YOUR RIGHTS, INCLUDING YOUR RIGHT TO A JURY TRIAL AND TO BRING OR PARTICIPATE IN A CLASS ACTION. BY ACCEPTING THIS AGREEMENT, YOU AGREE TO THE TERMS OF THE ARBITRATION PROVISION UNLESS YOU PREVIOUSLY OPTED OUT.

1. DEFINITIONS

  1. Total Purchase Amount.
    This equals the total amount of your Purchase, as adjusted, and represents the total amount you will have paid when you have made all scheduled payments. In addition to the cost of any goods or services, it may be adjusted to include (1) any applicable taxes, shipping costs, or other fees that are charged by a Vendor, (2) any goods or services added to your order after you agree to this Agreement and/or (3) any adjustments or increases due to exchanges or returns.
  2. Initial Payment.
    The Initial Payment is the first of your payments and is due immediately. The Initial Payment will be made automatically on that date as described in the Payment Authorization below.
  3. Installment Payment.
    The Installment Payments represent the amount financed and consist of installment payments due after the Initial Payment for the term selected from the Initial Payment. Installment Payments will be made automatically on these dates as set forth in the Payment Authorization below.
  4. Payment Schedule.
    Depending on the details of your Purchase and how it is processed by the Vendor, one or more payment schedules (each, a "Payment Schedule") will be emailed to you and made available through the Maroo Platform. Each Payment Schedule will show the amount of the applicable Initial Payment and each Installment Payment and the date on which each Installment Payment is due ("Due Date"). 

    The sum of all final Payment Schedules provided to you is equal to the Total Purchase Amount.

2. PROMISE TO PAY

By using this payment option, you are instructing us to send the proceeds of your Maroo Book Now, Pay Later to the designated Vendor as payment for your purchase. You further promise to pay Maroo the Total Purchase Amount in accordance with the payment terms, including repayment of the Initial Payment and each Installment Payment on their Due Dates, plus any fees, past due amounts and other charges as permitted under this Agreement.

3. INTEREST RATES

This is a 0% APR loan. We do not charge interest or other finance charges in connection with your Maroo Book Now, Pay Later. Other fees may apply as described in this Agreement.

4. LATE PAYMENT FEE

Maroo assesses a late payment fee of $25 on all Maroo Book Now, Pay Later installment payments; this is typically assessed 5 business days after the Due Date of an Installment Payment.

5. PARTIAL PAYMENTS (DOWN PAYMENTS)

For the certain transactions, you may be required to make an immediate, one-time partial payment of the total price (a "Partial Payment"). If you are required to make a Partial Payment, you acknowledge that, notwithstanding the fact that Maroo is not a party to the initial agreement between you and the Vendor (i.e. your purchase), Maroo acts as the Vendor’s payment collection agent for the limited purpose of accepting Partial Payments from you on behalf of the Vendor. Upon your payment of a Partial Payment to Maroo, your payment obligation to the Vendor for the Partial Payment is extinguished and Maroo is responsible for remitting the Partial Payment to the Vendor. In the event that Maroo does not remit a Partial Payment to the Vendor, the Vendor will have recourse only against Maroo and not you.

6. REPAYMENT METHODS

Currently, acceptable methods of payment are:
If charges cannot be processed through your credit card, debit card, or if your bank draft or electronic funds transfer is returned for insufficient funds or charged back, you will be responsible for any fees incurred (including a fee of $25), and Maroo will have no liability with respect there to.

7. PAYMENT AUTHORIZATION

When you submit a payment through Maroo, you authorize Maroo to debit your payment method. You also authorize Maroo to credit your payment method for payments returned to us.

Where you choose to pay via ACH, you authorize Maroo to debit your payment method in increments, as a lump sum, or recurring debit entries to your payment method we have on file. 

You also give Maroo the right to resubmit any ACH debit that is returned for insufficient or uncollected funds, or any other reason. You agree that payment transactions will be governed by the rules established by NACHA, the Electronic Payments Association, as in effect from time-to-time, under which you are an "Originator", Maroo is a "Third Party Service Provider," and Partner Banks are the "Originating Depository Financial Institutions." You are responsible for all claims, demands, losses, liabilities and expenses (including attorneys’ fees and costs) that result directly or indirectly from your failure to perform your obligations under the NACHA rules and you indemnify Maroo and the Partner Banks for the same.

Where you choose to pay via a card payment, you authorize Maroo to charge your payment method in increments, as a lump sum, or recurring entries to your payment method we have on file. 

Payments submitted for immediate processing will require successful payment method authorization at time of submission, while payments marked for future processing will require payment method authorization on the process date indicated for the payment. If a payment method fails to authorize, Maroo will be unable to continue to process your payment, and Maroo will notify you.

8. COLLECTION

You agree to allow Maroo to send you payment reminders from time-to-time. Notwithstanding whether you have consented or withdrawn your consent to the Maroo Electronic Disclosures, you agree that payment reminders may take the form of any available communication. You also agree that if you fail to pay an amount owed to Maroo pursuant to this Agreement, Maroo may engage in collection efforts to recover such amounts from you. These collection efforts may involve contacting you directly, submitting your information to a collections agency, or taking legal action. FAILURE TO PAY MAY AFFECT YOUR CREDIT SCORE.

9. DEFAULT

Except where prohibited by law, you will be in default if you: (a) fail to make any payment by a Due Date; (b) become the subject of insolvency or bankruptcy proceedings; (c) supply false, misleading, or incorrect information to us; (d) a payment is returned to us by your bank; or (e) violate or are unwilling to comply with any provision in this Agreement (each a “Default”).

If you are in Default, Maroo may: (i) employ a debt collection agency to collect payment; and (ii) report default information to credit bureaus. If you are in Default, Maroo may prevent you from future use of any Maroo service.

10. CREDIT REPORTS & REPORTING

You give us permission to request information and to make whatever inquiries we consider necessary and appropriate (including obtaining information from third parties and requesting consumer reports from consumer reporting agencies) for the purpose of considering your application for credit and subsequently in connection with any product upgrades or offers or the collection of your loan or your account with us. We will only obtain consumer reports that do not impact your credit score and do not leave a hard inquiry on your credit report.

11. RETURNS OR CANCELLATIONS

Any return, cancellation or exchange of a product is a matter between you and the Vendor, subject to Vendor’s return policy. It will not impact the amount you owe under this Agreement unless and until we receive a credit from the Vendor. If we receive a credit from the Vendor, we will apply it to your outstanding balance and refund any portion of such credit that exceeds your outstanding balance. You will need to continue to make your previously disclosed payments at scheduled Due Dates until your balance is paid in full.

12. COMMUNICATION & NOTIFICATION

You agree that Maroo may provide you communications about your Account and a Maroo Service electronically or through phone calls or in writing. Standard mobile, message, or data rates may apply and you are responsible for any such fees. Maroo reserves the right to close or limit access to your account or a Service and immediately collect all due amounts if you withdraw your consent to receive electronic or other communications or if you revoke access to any third party site on which the Maroo Service relies or if any such service should revoke or cancel your account on that site. Any electronic communications will be considered to be received by you at the time we email it to you or otherwise send it to your attention (such as via SMS or other online or mobile notification). 

We may assume you have received any communications sent to you by postal mail 3 business days after we send it. If we need to contact you to service your account or to collect amounts you owe to us, you give direct consent to us, as well as servicers, agents, contractors and collectors of your account, to communicate with you in any way, such as calling, texting, or email via:
You also agree that these communications are not unsolicited for purposes of any state or federal law, and you understand that this may result in additional mobile, text message, or data charges. 

You understand and agree that Maroo may monitor or record telephone conversations you or anyone acting on your behalf has with Maroo or its agents for quality control and training purposes or for its own protection. You acknowledge and understand that, while your communications with Maroo may be overheard, monitored, or recorded without further notice or warning, not all telephone lines or calls may be recorded by Maroo, and Maroo does not guarantee that recordings of any particular telephone calls will be retained or retrievable.

Notwithstanding this provision, Maroo's delivery of any Disclosures governed by the Maroo Consent to Electronic Disclosures shall be governed by your consent or withdrawal of consent to receiving such Disclosures in electronic form.

If you have a complaint towards Maroo, you can submit your complaint through the contact form on Maroo’s website (www.maroo.us) or via postal mail with the keyword "Complaint” to Maroo’s address.
